These Terms and Conditions govern the relationship between the Tanzania Academic Research Entrepreneurial Framework Association (TAREFA), a registered association in Tanzania, and individuals submitting innovative research for support and commercialization. By agreeing to these terms, the Innovative Researcher (the "Member") acknowledges their acceptance of TAREFA’s policies and guidelines.
Key Definitions
Innovative Researcher: The individual responsible for creating and owning the innovative research submitted to TAREFA.
Commercialization: Activities that transform research into a viable product or service, including securing funds, managing intellectual property, and developing market strategies.
Copyright and Ownership: The Innovative Researcher retains ownership of their research. TAREFA may assist with processing copyrights, patents, trademarks, or other intellectual property protections.
Responsibilities of TAREFA
Provide support to develop the research into a market-ready product or service.
Assist in securing funding, grants, or loans, ensuring appropriate utilization of resources.
Guide the Innovative Researcher in publishing their work in reputable journals.
Support the acquisition of intellectual property protections, including copyrights, patents, or trademarks.
Facilitate obtaining a Tax Identification Number (TIN) and ensuring compliance with applicable tax laws.
Develop marketing strategies, create websites, and provide market access for the research.
Monitor the research’s progress and the use of any funds or loans provided.
Membership Obligations
Submit original research and ensure its security by withholding the core idea until ownership and protection are established.
Provide all necessary documentation, including proof of ownership. If ownership is not yet secured, TAREFA will assist in obtaining it.
Comply with TAREFA’s guidelines for fund utilization and cooperate with any required auditing to ensure accountability.
Maintain active membership by paying an annual membership fee. The fee amount may be adjusted as needed by TAREFA.
Ownership and Intellectual Property
The Innovative Researcher retains full ownership of their research.
TAREFA is granted the exclusive right to commercialize the research under mutually agreed terms.
Intellectual property rights, including copyrights, patents, and trademarks, will be registered under the Innovative Researcher’s name, with TAREFA acting as the custodian for commercialization purposes.
Revenue Distribution
The distribution of revenue generated from the commercialization of research will be determined through mutual agreement between the Innovative Researcher and TAREFA at a later stage.
Duration of Agreement
The specific terms regarding the duration of this agreement will be discussed and agreed upon in a separate contract.
Termination of Agreement
By mutual agreement in writing.
Breach of terms by either party, such as misuse of funds or failure to fulfill obligations.
Non-payment of membership fees for two consecutive years.
Dispute Resolution
Any disputes arising from these terms will be resolved through arbitration under Tanzanian law.
Governing Law
These terms and conditions will be governed and interpreted under the laws of Tanzania.
Acknowledgment
By agreeing to these terms and conditions, the Innovative Researcher consents to abide by TAREFA’s policies and procedures. A formal contract outlining specific details will be signed following mutual agreement.
